These Terms of Service ("Terms") govern your access to and use of the services provided by Greeneville.dev ("Company," "we," "us," or "our"), including our website development, hosting, maintenance, and care plan services.
By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Definitions
- "Services" — Website development, hosting, maintenance, care plans, AI bot monitoring, and related services provided by Greeneville.dev
- "Client" or "you" — Any individual or entity that purchases or uses our Services
- "Deliverables" — Websites, applications, code, designs, and other materials we create for you
- "Care Plan" — A recurring subscription for ongoing maintenance, support, and hosting services
- "Content" — Text, images, videos, data, and other materials provided by you or created by us for your project
2. Services Description
2.1 Website Development
We provide custom website and web application development services. Project scope, timeline, and deliverables are defined in a separate project proposal or statement of work ("SOW") that forms part of these Terms.
2.2 14-Day Warranty Period
Every completed project includes a 14-day warranty period starting from the date of final delivery. During this period, we will fix any bugs, defects, or issues at no additional charge.
The warranty covers:
- Bug fixes and functional issues
- Minor revisions and adjustments
- Browser compatibility issues
- Mobile responsiveness corrections
- Issues that deviate from the agreed specifications
After the 14-day warranty period expires, ongoing support, maintenance, and bug fixes require an active Care Plan subscription. We encourage all clients to transition to a Care Plan to ensure continued support and protection.
2.3 Care Plans
Care Plans provide ongoing maintenance, hosting, support, and AI-powered monitoring. Specific inclusions vary by tier (Starter, Pro, SaaS) as described on our website and in our Service Level Agreement.
2.4 AI Bot Services
All Care Plans include access to our AI bot suite for automated monitoring, security scanning, SEO analysis, and performance optimization. Bots operate automatically and may generate recommendations that require your approval.
3. Client Responsibilities
You agree to:
- Provide accurate, complete information and materials needed for your project
- Respond to requests for feedback, approvals, and content in a timely manner
- Ensure you have rights to all content you provide (text, images, trademarks, etc.)
- Maintain the confidentiality of your account credentials
- Comply with all applicable laws in your use of our Services
- Not use our Services for any unlawful or prohibited purpose
- Pay all fees when due
4. Payment Terms
4.1 Project Fees
- Custom development projects require a 50% deposit before work begins
- Remaining balance is due upon project completion, before final delivery
- Additional work outside the original scope requires a change order with separate pricing
4.2 Care Plan Subscriptions
- Care Plans are billed monthly in advance
- Subscriptions automatically renew unless cancelled
- Price increases require 30 days written notice
- Unused support hours do not roll over to subsequent months
4.3 Late Payments
Invoices are due within 15 days. Late payments may incur a 1.5% monthly interest charge. Services may be suspended for accounts 30+ days past due.
5. Intellectual Property
5.1 Your Content
You retain ownership of all content you provide (logos, text, images, data). You grant us a license to use this content solely to provide the Services.
5.2 Deliverables
Upon full payment, you own the custom code, designs, and content we create specifically for your project. We retain ownership of:
- Pre-existing code, tools, and frameworks we use
- Generic or reusable components not unique to your project
- Our methodologies, processes, and know-how
5.3 Third-Party Components
Projects may include third-party software, plugins, or services subject to their own licenses. You agree to comply with all applicable third-party terms.
5.4 Portfolio Rights
We may display your project in our portfolio and marketing materials unless you request otherwise in writing.
6. Hosting and Domain Services
6.1 Hosting
Care Plans include hosting on our managed infrastructure. We are responsible for server maintenance, security, and uptime per our SLA. We may migrate hosting providers to improve service quality.
6.2 Domains
Domain registration and renewal fees are your responsibility unless explicitly included in your agreement. We recommend domains be registered in your name to ensure you retain ownership.
7. Data and Security
7.1 Data Handling
We handle your data in accordance with our Privacy Policy and applicable data protection laws. For business clients, we offer a Data Processing Agreement.
7.2 Backups
We perform regular backups based on your Care Plan tier. While we make reasonable efforts to protect data, you should maintain your own backups of critical content.
7.3 Security
We implement industry-standard security measures. You must promptly notify us of any suspected security breach or unauthorized access.
8. Acceptable Use
You may not use our Services to host, transmit, or promote content that is illegal, harmful, or violates third-party rights. See our full Acceptable Use Policy for details.
9. Service Level Agreement
Our uptime commitments, response times, and service credits are governed by our Service Level Agreement, which is incorporated into these Terms.
10. Term and Termination
10.1 Care Plan Term
Care Plans continue month-to-month until cancelled. You may cancel at any time with 30 days notice. Cancellation takes effect at the end of the current billing period.
10.2 Termination by Us
We may terminate or suspend your Services immediately if you:
- Fail to pay fees when due (after reasonable notice)
- Violate these Terms or our Acceptable Use Policy
- Engage in fraudulent or illegal activity
- Become subject to bankruptcy or insolvency proceedings
10.3 Effect of Termination
Upon termination:
- Your access to hosted services will be suspended
- You may request a copy of your data within 30 days
- We may delete your data after 90 days (unless legally required to retain)
- Outstanding fees remain due
11. Warranties and Disclaimers
We warrant that services will be performed in a professional manner and deliverables will substantially conform to agreed specifications.
DISCLAIMER: Except as expressly stated, services are provided "AS IS" without warranty of any kind. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages. These limitations do not apply to gross negligence or willful misconduct.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Services, content you provide, or your violation of these Terms.
14. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the engagement. Confidentiality obligations survive termination for 3 years.
15. Dispute Resolution
Before filing any formal dispute, you agree to contact us at support@greeneville.dev to attempt informal resolution. These Terms are governed by the laws of the State of Tennessee. Any disputes shall be resolved in the state or federal courts located in Greene County, Tennessee.
16. General Provisions
- Entire Agreement: These Terms, along with any SOW and policies referenced herein, constitute the entire agreement
- Modifications: We may modify these Terms with notice via email for material changes
- Severability: If any provision is found unenforceable, remaining provisions continue in effect
- Waiver: Our failure to enforce any right does not waive our right to enforce it later
- Assignment: You may not assign these Terms without our consent
- Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control
